Terms of Service
1. Acceptance of Terms
- Welcome to ChromaAI. By accessing or using ChromaAI's website at chromacolorai.com, mobile application, or any related services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you do not agree to these Terms, please do not use the Service.
- These Terms constitute a binding agreement between you ("User," "you," or "your") and ChromaAI ("Company," "we," "us," or "our").
2. Definitions
- Service: The ChromaAI AI-powered color grading platform, including the website, application, and all related features.
- Account: Your registered user account on the Service.
- Content: Any video frames, images, LUT files, or other media you upload to or generate through the Service.
- Subscription: A recurring paid plan granting access to the Service.
- Jurisdiction: ChromaAI operates from Israel.
3. Account Registration
To use the Service, you must:
- Be at least 16 years old (or the minimum age in your jurisdiction)
- Provide accurate, current, and complete information during registration
- Maintain the security of your password and account
- Promptly notify us of any unauthorized use of your account
- Take responsibility for all activities that occur under your account
One person or legal entity may not maintain more than one free account. We reserve the right to suspend or terminate accounts that violate these requirements.
4. Subscription and Payment
- ChromaAI offers a 7-day free trial for new users. No payment information is required upfront. If you choose to subscribe after the trial, your selected payment method will be charged at the start of the next billing period.
- Subscriptions are offered on monthly or annual billing cycles. By subscribing, you authorize us (through our payment processor, Paddle) to charge your payment method on a recurring basis until you cancel.
- All subscriptions automatically renew at the end of each billing period unless canceled before the renewal date. You can cancel your subscription at any time through your account settings.
- Our refund policy is detailed in our separate Refund Policy, which forms part of these Terms.
- We reserve the right to change subscription prices. We will provide at least 30 days' notice before any price change takes effect for existing subscribers.
5. License to Use the Service
Subject to these Terms, ChromaAI grants you a limited, revocable, non-exclusive, non-transferable license to access and use the Service for your personal or internal business purposes during the period of your active subscription.
6. Acceptable Use
You agree NOT to:
- Use the Service for any illegal, harmful, or fraudulent purpose
- License, sell, rent, lease, sublicense, or commercially redistribute access to the Service to third parties
- Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Service
- Modify, adapt, or hack the Service or attempt to bypass any security or access control measures
- Upload content that infringes on third-party intellectual property rights
- Upload content that is illegal, defamatory, abusive, harassing, or contains personal data of others without consent
- Use automated tools (bots, scrapers, crawlers) to access the Service without our written permission
- Use the Service in a way that overloads, disrupts, or degrades performance for other users
- Remove, alter, or obscure any proprietary notices (copyright, trademark) on the Service
- Resell or redistribute LUTs generated by the Service as standalone products without significant additional creative work
Violation of these terms may result in immediate suspension or termination of your account, with or without notice.
7. Your Content and Ownership
- You retain all ownership rights to the video frames, images, and other media you upload to the Service ("Your Content"). We do not claim ownership of Your Content.
- By uploading Your Content, you grant ChromaAI a limited, worldwide, non-exclusive, royalty-free license to use, reproduce, and process Your Content solely for the purpose of providing the Service to you (e.g., analyzing frames to generate LUTs). This license terminates when you delete Your Content or close your account.
- All LUT files generated through the Service are the property of ChromaAI. However, by maintaining an active subscription, you are granted a perpetual, worldwide, royalty-free license to use the LUTs you generate during your subscription period for both personal and commercial projects (such as client work, films, advertisements, and social media content). This license survives the termination of your subscription for LUTs already generated, subject to the restrictions in Section 6 (you may not resell or redistribute the LUTs as standalone products).
- If you provide feedback, suggestions, or ideas about the Service, you grant us the right to use them without compensation or credit, but we respect that the feedback originated with you.
8. Intellectual Property
- The Service, including all software, design, text, graphics, logos, and content (excluding Your Content), is owned by ChromaAI and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works of the Service without our express written permission.
- "ChromaAI" and the ChromaAI logo are trademarks of ChromaAI. Other trademarks mentioned in the Service belong to their respective owners.
9. Privacy
Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information. By using the Service, you consent to the practices described in our Privacy Policy.
10. Third-Party Services
The Service may include integrations with third-party tools (such as Adobe Premiere Pro, DaVinci Resolve, or payment processors). ChromaAI is not responsible for the availability, accuracy, content, or practices of any third-party services. Your use of third-party services is governed by their respective terms.
11. Service Availability and Modifications
- We strive to keep the Service available 24/7, but we do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or factors beyond our control.
- We reserve the right to modify, suspend, or discontinue the Service (or any feature) at any time. If we make material changes that significantly reduce functionality, we will provide reasonable advance notice. In the case of permanent discontinuation, we will offer a pro-rated refund for any unused subscription period.
12. Termination
- You may terminate your account at any time through your account settings or by contacting us through our website contact form.
- We may suspend or terminate your account if you violate these Terms, engage in fraud, or for any other lawful reason. Where reasonable, we will provide notice and an opportunity to cure the violation before termination.
- Upon termination, your right to use the Service ceases immediately. We will delete your data in accordance with our Privacy Policy. Sections of these Terms that by their nature should survive termination (such as Intellectual Property, Limitation of Liability, and Governing Law) will remain in effect.
13. Disclaimer of Warranties
The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, whether express or implied. We do not warrant that:
- The Service will meet your specific requirements
- The Service will be uninterrupted, timely, secure, or error-free
- The results obtained from the Service will be accurate or reliable
- Any errors in the Service will be corrected
To the maximum extent permitted by law, ChromaAI disclaims all warranties, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
14. Limitation of Liability
- To the maximum extent permitted by applicable law, in no event shall ChromaAI be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from your use of (or inability to use) the Service.
- ChromaAI's total cumulative liability for any claim arising out of or related to these Terms or the Service shall not exceed the amount you paid us in the 12 months preceding the claim, or $100, whichever is greater.
- Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability, so some of the above limitations may not apply to you.
15. Indemnification
You agree to indemnify and hold harmless ChromaAI, its officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from:
- Your use of the Service
- Your violation of these Terms
- Your violation of any third-party rights, including intellectual property rights
- Your Content uploaded to the Service
16. Governing Law and Disputes
- These Terms shall be governed by and construed in accordance with the laws of Israel, without regard to its conflict of law provisions.
- Before pursuing formal legal action, you agree to first contact us through our website contact form to attempt to resolve any dispute informally. We will work in good faith to resolve issues within 60 days.
- If informal resolution fails, any legal action shall be brought exclusively in the courts of Tel Aviv, Israel, and you consent to the personal jurisdiction of those courts.
- If you are a consumer located in the EU or UK, you may also have the right to bring claims in the courts of your country of residence under applicable consumer protection law.
17. Copyright Infringement (DMCA)
If you believe that content on the Service infringes your copyright, please send a notice to us through our website contact form including:
- Your physical or electronic signature
- Identification of the copyrighted work claimed to be infringed
- Identification of the allegedly infringing material
- Your contact information
- A statement of good faith belief that the use is not authorized
- A statement, under penalty of perjury, that the information is accurate and you are authorized to act
18. Changes to Terms
We may update these Terms from time to time. If we make material changes, we will notify you by email or through the Service at least 30 days before the changes take effect. Your continued use of the Service after the changes take effect constitutes acceptance of the updated Terms. If you do not agree to the new Terms, you should stop using the Service and may terminate your account.
19. Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect. The unenforceable provision shall be modified to the minimum extent necessary to make it enforceable while preserving its intent.
20. Entire Agreement
These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and ChromaAI regarding the Service and supersede all prior agreements and understandings.
21. No Waiver
Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. A waiver of any provision must be in writing and signed by an authorized representative of ChromaAI.
22. Assignment
You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign these Terms to any affiliate or in connection with a merger, acquisition, or sale of assets.
